Terms and Conditions of Use

IMPORTANT NOTICE

These Terms and Conditions constitute a legally binding agreement between you (the User) and TNT Pollination Ltd. Your use of the PollinLink platform, including its mobile and web applications, constitutes your full and unconditional acceptance of these Terms. If you do not agree with any part of these Terms, you must immediately cease use of the platform and notify your administrator.

Chemical Safety: The chemical safety features within PollinLink are communication relay tools only. Users are solely and personally responsible for verifying field safety before entering any field, regardless of what the platform displays.

INTRODUCTION

These Terms and Conditions ("Terms") govern your access to and use of the PollinLink platform, including its mobile and web applications, operated by TNT Pollination Ltd. ("PollinLink," "we," "us," or "our"), a company incorporated under the laws of Alberta, Canada.

By registering for, accessing, or using PollinLink in any way, you ("User") agree to be legally bound by these Terms. These Terms form a binding contract between you and TNT Pollination Ltd. If you do not agree to these Terms in their entirety, you must not access or use the platform.

These Terms apply to all users of the platform, including agronomists, pollinators, roguing crew members, spray operators, growers, seed company representatives, and any other individuals or organizations accessing PollinLink in any capacity.

1. ELIGIBILITY AND ACCOUNT ACCESS

PollinLink is intended for use by registered organizations and their authorized personnel only.

  • Access requires a valid company code and approval by an authorized administrator within your organization.
  • You must be at least 18 years of age and legally authorized to enter into binding contracts in your jurisdiction.
  • You are responsible for maintaining the confidentiality of your login credentials. You must not share your credentials with any other person.
  • You are fully responsible for all actions taken under your account, whether or not you authorized those actions.
  • You must promptly notify PollinLink support if you become aware of any unauthorized use of your account.
  • Organizations are responsible for ensuring only authorized individuals are granted access under their company account.

2. USE OF THE PLATFORM

By using PollinLink, you agree to use the platform only for its intended purposes, which include field scheduling, task coordination, communication, chemical safety notifications, and related agricultural coordination activities.

You agree that you will not:

  • Use the platform for any unlawful purpose or in violation of any applicable law or regulation.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the platform, its servers, or the accounts of other users.
  • Falsify, manipulate, or misrepresent any data entered into the platform, including but not limited to spray application records, field status, or scheduling information.
  • Access, view, or attempt to access data belonging to another organization or user without explicit authorization.
  • Use the platform to impersonate another person or organization.
  • Reverse-engineer, decompile, or attempt to extract the source code of the platform.

PollinLink does not guarantee specific outcomes from use of the platform. Users remain solely responsible for their own decisions and for compliance with all applicable field safety protocols, regulations, and professional standards.

3. CHEMICAL SAFETY DISCLAIMER

CRITICAL -- READ CAREFULLY

PollinLink provides chemical spray notifications and entry restriction alerts solely as a communication relay service. The platform does not independently verify, validate, confirm, or monitor any spray application data, field safety conditions, or re-entry interval compliance.

All spray data displayed within the platform is limited to event timestamps used to calculate re-entry windows. PollinLink does not collect the chemical product used, the application rate, or the identity of the individual who applied it. All timing data is entered directly by users, including growers and spray operators. TNT Pollination Ltd. has no ability to confirm the accuracy, completeness, or timeliness of that information.

TNT Pollination Ltd. and PollinLink are not responsible, under any circumstances, for any injury, illness, chemical exposure, death, property loss, or any other harm arising from inaccurate, incomplete, delayed, or missing spray notification data.

This includes but is not limited to:

  • Data entry errors made by any user, including growers, spray operators, or agronomists.
  • Failure by any party to input spray activity into the platform prior to a field entry.
  • System notifications that were not received due to connectivity issues, device settings, or any technical failure.
  • Reliance on platform data without independent field verification.
  • Inaccurate re-entry intervals, product information, or field boundary data entered by any user.
  • Delays in data transmission or platform processing that affect the timing of alerts.

All users, including agronomists, pollinators, roguing crew members, spray operators, and all other field personnel, are solely and personally responsible for independently confirming field safety conditions before entering any field or deploying any equipment, regardless of what the PollinLink platform displays.

Use of PollinLink does not substitute for, and must never replace, direct communication between parties, on-site safety assessment, or compliance with applicable pesticide regulations, re-entry interval requirements, occupational health and safety standards, and any other applicable laws or regulations.

4. USER RESPONSIBILITY AND ACKNOWLEDGMENT

By using PollinLink, you expressly acknowledge and agree that:

  • You are solely responsible for the accuracy, completeness, and timeliness of all information you enter into the platform.
  • You are solely responsible for verifying all information displayed by the platform before taking any action in the field, including but not limited to field entry, bee placement, equipment deployment, and chemical application.
  • PollinLink is a coordination and communication tool only. It does not replace professional judgment, on-site assessment, or compliance with applicable laws, regulations, and safety requirements.
  • No notification, alert, clearance status, or any other information displayed in the platform should be treated as a guarantee, certification, or professional confirmation of field safety or regulatory compliance.
  • You will not rely solely on PollinLink data when making any decision that could affect human health, safety, or the environment.
  • You are responsible for ensuring that all members of your organization who use the platform understand and comply with these Terms.
  • If you are an administrator, you are responsible for the accuracy of all data entered by users within your organization.

5. DATA OWNERSHIP AND PRIVACY

5.1 Your Data

Users and organizations retain full ownership of all data they submit to the PollinLink platform, including field information, scheduling records, communications, images, notes, and any other content entered by their users. TNT Pollination Ltd. does not claim any ownership rights over this data. The collection, use, and handling of this data is governed in detail by the PollinLink Privacy Policy and, where applicable, the PollinLink Ag Data Use Agreement, which should be read together with these Terms.

5.2 No Sale of Data

TNT Pollination Ltd. does not sell, trade, rent, license, or otherwise transfer user data to any third party for commercial purposes, under any circumstances. This applies to all data submitted by users and organizations, including operational data, field data, personal information, and any other content within the platform.

5.3 Platform Operator Access

As platform operator, TNT Pollination Ltd. has access only to system-level data required for platform maintenance, security monitoring, and technical support. This includes:

  • User account information such as name, email address, and assigned role.
  • System error logs and technical diagnostic data.
  • Anonymized and aggregated usage statistics that cannot be used to identify any individual or organization.

TNT Pollination Ltd. does not access, monitor, or review any company-specific field data, scheduling records, communications, operational information, or any other content belonging to individual organizations using the platform, except as described in Section 5.4.

5.4 Super Admin Access

The only exception to Section 5.3 is where an authorized administrator of your organization explicitly grants super admin access to TNT Pollination Ltd. for the specific purpose of technical support, troubleshooting, or platform maintenance.

  • Such access is granted entirely at your organization’s sole discretion.
  • Access will be limited strictly to what is necessary to resolve the specific support issue for which it was granted.
  • Your administrator may revoke super admin access at any time.
  • Any super admin access session will be logged for auditing purposes.

TNT Pollination Ltd. will never access your organization’s account without explicit permission from your authorized administrator.

5.5 Anonymized and Aggregated Data

Anonymized and aggregated data, from which no individual or organization can be identified, may be used to improve platform functionality, performance, and features, and to support grant reporting to funding bodies such as RDAR and Alberta Innovates. This data contains no personally identifiable information and cannot be traced back to any user or organization.

Organizations may opt out of their data being included in aggregated datasets at any time by contacting support@pollinlink.com. Opting out will apply to future aggregation. Aggregated datasets created prior to an opt-out request cannot be retroactively modified or deleted.

5.6 Data Processing Authorization

By using PollinLink, you grant TNT Pollination Ltd. a limited, non-exclusive license to process and display data submitted by you solely for the purposes of providing the platform’s scheduling, coordination, communication, and safety notification services. This license does not extend to sale, sublicensing, or commercial transfer of your data to any third party.

5.7 Legal Disclosure

TNT Pollination Ltd. may be required to disclose user or organizational data where compelled by a valid court order, subpoena, or other legal obligation. In such circumstances, TNT Pollination Ltd. will notify the affected organization of any such compelled disclosure to the extent permitted by law. TNT Pollination Ltd. shall have no liability for disclosure of data in response to a legally valid government or court demand.

5.8 Data Retention and Deletion

Organizational data is retained for as long as your organization maintains an active account. Following termination of an account, all organization-specific operational data will be deleted from the platform within ninety (90) days. TNT Pollination Ltd. may retain certain account-level information beyond this period as required by applicable law or to satisfy outstanding legal or contractual obligations.

Certain records, including spray event timing and re-entry interval communications, may be retained longer where required by applicable law, regulation, or legal proceedings. Organizations may request deletion of their data prior to the standard retention period by contacting support@pollinlink.com.

6. THIRD-PARTY INTEGRATIONS AND DATA SHARING

6.1 Purpose of Integration Data Sharing

PollinLink may transmit certain user and field data to third-party platforms and services for the sole purpose of enabling integrations requested by or on behalf of your organization. TNT Pollination Ltd. acts as a conduit only. Data is shared to enable the functionality of integrations; it is not sold, licensed, or monetized in any way through integration partnerships.

6.2 Current and Future Integrations

Current and future integrations may include, but are not limited to, agricultural management platforms such as FCC AgExpert, SeedCert, Flight Plan, John Deere Operations Center, and other agricultural software systems. The list of available integrations may change over time as the platform develops.

6.3 User Authorization for Integration Data Sharing

By enabling an integration within PollinLink, your organization’s administrator authorizes the transmission of relevant data to the connected third-party platform. You are responsible for:

  • Reviewing and accepting the privacy policies and terms of service of any third-party platform you connect to PollinLink.
  • Ensuring that your organization’s use of third-party integrations complies with all applicable laws and regulations, including data privacy laws in your jurisdiction.
  • Understanding that TNT Pollination Ltd. is not responsible for how third-party platforms store, use, protect, or further share data once it has been transmitted to them.

6.4 Integration Management

Integration connections may be enabled or disabled at any time by your organization’s administrator within the platform settings. Disabling an integration will stop future data transmission to that third-party platform but will not affect data already transmitted prior to disabling the integration.

6.5 Government Data Requests

TNT Pollination Ltd. will not share your data with government agencies unless required to do so by a valid court order, subpoena, or other legal obligation. TNT Pollination Ltd. will notify the affected organization of any such request to the extent permitted by law, consistent with the commitment in Section 5.7.

7. TERMINATION AND SUSPENSION

TNT Pollination Ltd. reserves the right to suspend or terminate access to PollinLink at any time, without prior notice, if a user or organization:

  • Violates any provision of these Terms.
  • Misuses the platform in any way that compromises the safety, security, or privacy of other users.
  • Attempts to circumvent access restrictions, security measures, or data isolation controls.
  • Shares unauthorized data or credentials with any third party.
  • Is no longer affiliated with an approved organization.
  • Engages in any fraudulent, abusive, or illegal activity through or in connection with the platform.

Organizations may also request deactivation of any user account within their organization at any time and for any reason. Termination of access does not relieve the user of any obligations or liabilities incurred prior to termination. Data retention following termination is governed by Section 5.8.

8. LIMITATION OF LIABILITY

PollinLink is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. TNT Pollination Ltd. expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

To the fullest extent permitted by applicable law, TNT Pollination Ltd. and its directors, officers, shareholders, employees, contractors, and agents shall not be liable for:

  • Any injury, illness, chemical exposure, or death resulting from reliance on platform data, including chemical safety notifications or field status information.
  • Losses or damages caused by incorrect, incomplete, or delayed scheduling, field coordination, or notification data.
  • Actions taken or not taken by any user in response to information displayed on the platform.
  • Any indirect, incidental, special, consequential, or punitive damages of any kind.
  • Loss of profits, loss of revenue, loss of data, or loss of business opportunity.
  • Any failure, interruption, or delay in the platform caused by technical issues, connectivity problems, third-party service failures, or events outside TNT Pollination Ltd.’s reasonable control.

Except for claims arising directly from the gross negligence or intentional wilful misconduct of TNT Pollination Ltd., the total aggregate liability of TNT Pollination Ltd. to any user or organization shall not exceed the total fees actually paid by that user or organization to TNT Pollination Ltd. in the twelve (12) months immediately preceding the event giving rise to the claim.

9. FORCE MAJEURE

Neither TNT Pollination Ltd. nor the User shall be liable for any delay, failure to perform, or interruption of service resulting directly or indirectly from any event beyond the reasonable control of the affected party, including but not limited to:

  • Acts of God, including extreme weather, floods, droughts, fires, earthquakes, or other natural disasters.
  • Pandemics, epidemics, or public health emergencies.
  • War, terrorism, riots, civil unrest, or armed conflict.
  • Government actions, orders, regulations, or restrictions.
  • Labour disputes, strikes, lockouts, or shortages.
  • Failures or disruptions of third-party services, including telecommunications, internet service providers, cloud hosting providers, GPS services, or integration partners.
  • Power failures, internet outages, or cybersecurity incidents.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless TNT Pollination Ltd., PollinLink, and their respective directors, officers, shareholders, employees, contractors, and agents from and against any and all claims, demands, actions, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of or inability to use the platform.
  • Your violation of any provision of these Terms.
  • Any data you or your organization submitted to the platform that was inaccurate, incomplete, misleading, or entered in error.
  • Any action or omission by you, your organization, or any of your users in connection with field operations, chemical applications, or safety procedures.
  • Any claim by a third party arising from your use of the platform.

11. INTELLECTUAL PROPERTY AND LICENSE GRANT

11.1 License Grant

Subject to your compliance with these Terms, TNT Pollination Ltd. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the term of your authorized access to use the PollinLink platform solely for your internal business purposes in connection with agricultural coordination, field scheduling, communication, and related activities as permitted under these Terms.

11.2 Restrictions and Prohibited Uses

Except as expressly permitted in these Terms or with the prior written consent of TNT Pollination Ltd., you shall not:

  • Copy, reproduce, modify, adapt, translate, create derivative works from, or distribute any part of the platform, its software, documentation, or user interface.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of the platform.
  • Scrape, crawl, data mine, harvest, or use any automated means to access, monitor, download, or extract data, content, or information from the PollinLink platform.
  • Build or create a competing product or service using data or information obtained from the platform.
  • Frame, mirror, or otherwise incorporate any portion of the platform into any other website, application, or service.
  • Remove, obscure, or alter any copyright, trademark, or other proprietary notices contained in or on the platform.
  • Use the platform or any data obtained from it for the purpose of training, developing, or improving any artificial intelligence, machine learning, or similar models without the prior written consent of TNT Pollination Ltd.

11.3 Ownership

All intellectual property associated with PollinLink, including but not limited to the software, platform architecture, branding, trademarks, design, and proprietary data structures, remains the exclusive property of TNT Pollination Ltd. Nothing in these Terms grants you any ownership rights in the platform or its underlying technology.

12. GOVERNING LAW AND JURISDICTION

12.1 Primary Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict of law principles. Any dispute arising from or related to these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of the Province of Alberta.

12.2 Multi-Jurisdictional Use

TNT Pollination Ltd. makes no representation that the platform is appropriate or legally available for use in all jurisdictions. If you access or use PollinLink from outside Alberta, you are solely responsible for compliance with all applicable local laws and regulations in your jurisdiction.

12.3 Injunctive Relief

Nothing in these Terms limits the ability of either party to seek emergency injunctive or other equitable relief in any court of competent jurisdiction where necessary to prevent irreparable harm.

13. CHANGES TO THESE TERMS

TNT Pollination Ltd. may update these Terms from time to time to reflect changes in the platform, applicable law, or business practices. When material changes are made, we will notify users through the app, via email, or through both channels, providing reasonable notice before the changes take effect.

Your continued use of the platform after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the platform.

14. SEVERABILITY

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

15. ENTIRE AGREEMENT

These Terms, together with the PollinLink Privacy Policy and, where applicable, the PollinLink Ag Data Use Agreement, constitute the entire agreement between you and TNT Pollination Ltd. with respect to your use of the PollinLink platform and supersede all prior agreements, representations, or understandings, whether written or oral, relating to the same subject matter.
